SEIBU Smile ID利用規約

SEIBU Smile ID利用規約（以下「本規約」といいます。）は、株式会社西武ホールディングス（以下「当社」といいます。）が「SEIBU Smile ID」の名称で提供する共通IDの保有者向けサービスの利用条件、利用上の注意事項および当社とID保有者の間の権利義務関係等を定めるものです。本サービスの利用に際しては、本規約の全文をお読みいただいた上で、本規約に同意いただく必要があります。

第1条 （適用）

  1. 本規約は、本サービスに関する利用条件、利用上の注意事項および当社とID保有者の間の権利義務関係等を定めることを目的とし、当社とID保有者との間の本サービスの利用に関わる一切の関係に適用されます。
  2. ID保有者は、本サービスの利用にあたり、本規約その他本サービスにつき当社が別途定める利用上の約款および利用条件等（以下これらを総称して「本規約等」といいます。）を遵守し、本サービスの円滑な運営ができるように協力するものとします。
  3. 本規約等の内容と、本規約等外における本サービスに係る説明、広告等とが異なる場合は本規約等の規定が優先して適用されるものとします。

第2条 （定義）

本規約において使用する以下の用語は、各々以下に定める意味を有するものとします。

  1. 「本サービス」とは、当社が「SEIBU Smile ID」の名称で提供する、西武グループ各社またはその提携先が提供する各種サービス・コンテンツ等へ共通のIDを用いてログインできるサービスその他のID保有者向けサービス（理由の如何を問わずサービスの名称または内容が変更された場合は、当該変更後のサービスを含み、「個別サービス」は含みません。）を意味します。
  2. 「ID保有者」とは、第4条第3項に従いSEIBU Smile IDの発行手続が完了した方（IDを削除した方を除きます。）を意味します。
  3. 「SEIBU Smile ID」とは、ID保有者が本サービスを利用する際の認証に用いるログインIDを意味します。
  4. 「個別サービス」とは、当社、西武グループ各社またはその提携先が提供する各種サービス・コンテンツ等であって、SEIBU Smile IDによる認証を通じて利用することができるものを意味します。
  5. 「個別サービス利用規約」とは、個別サービスの提供者たる当社、西武グループ各社またはその提携先が定める、当該個別サービスの利用条件、利用に係る権利義務その他の事項を定めた規約または契約等を意味します。
  6. 「ログインサービス」とは、SEIBU Smile IDによる認証を通じて個別サービスを利用するために、SEIBU Smile IDを用いて個別サービスへログインできるサービスをいいます。
  7. 「本サイト等」とは、当社が本サービスを提供するウェブサイト、アプリケーションおよび関連ソフトウェアをいいます。
  8. 「本人登録情報」とは、SEIBU Smile IDの発行に必要な情報として当社が定める一定の情報を意味します。
  9. 「知的財産権」とは、著作権、特許権、実用新案権、意匠権、商標権その他の知的財産権（それらの権利を取得し、またはそれらの権利につき登録等を出願する権利を含みます。）を意味します。
  10. 「西武プリンスクラブ」とは、当社が提供する会員制のポイントプログラムサービスを意味します。
  11. 「西武プリンスクラブお客さま番号」とは、西武プリンスクラブ会員1名につき１つ発番される固有の番号を意味します。

第3条 （本サービスの利用）

  1. 本サービスはID保有者に対してのみ提供されます。ID保有者は、本規約の各条項に同意の上、本サービスを利用するものとします。
  2. ID保有者は、本サービスの利用に用いる情報端末機器の性能、通信環境等によって、本サービスの機能の一部または全部を利用できない場合があることを承諾し、これに異議を述べないものとします。

第4条 （SEIBU Smile IDの発行）

  1. 本サービスを利用するためには、西武プリンスクラブに入会した上で、本条に従ってSEIBU Smile IDの発行手続をする必要があります。
  2. SEIBU Smile IDの発行を希望する方は、本規約の各条項を承諾の上、当社所定の発行手続に従い、本人登録情報を当社に提供することにより、当社に対してSEIBU Smile IDの発行を申請することができます。
  3. 当社は、前項に基づいて発行申請を行った方（以下「発行申請者」といいます。）の発行の可否を判断し、当社が発行を認めた場合にはSEIBU Smile IDおよびパスワードを発行するものとします。その場合、当社は、その旨を当該発行申請者に通知します。
  4. ID保有者は、次の条件を満たす方とします。
    1. 生存している個人の方（法人は不可）
    2. 国内に居住している方または国内の住所を登録することができる方
    3. 年齢が満13歳以上の方。ただし、年齢が満13歳未満の方が発行を希望するときは、法定代理人（親権者または未成年後見人）が同意の旨を発行申請時に届け出ることにより本号の条件を満たすものとします。
    4. 暴力団員、暴力団関係企業・団体もしくはこれに類する反社会的勢力の構成員またはそれらと関係を有するものでない方

第5条 （本人登録情報の変更）

ID保有者は、自身の本人登録情報に変更があった場合、当社の定める方法により当該変更事項を遅滞なく当社に通知するものとします。

第6条 （SEIBU Smile IDおよびパスワードの管理）

  1. ID保有者は、自己の責任において、SEIBU Smile IDおよびパスワード（以下あわせて「SEIBU Smile ID等」といいます。）を適切に管理および保管するものとし、これを第三者に利用させ、または貸与、譲渡、名義変更、売買等をしてはならないものとします。
  2. ID保有者は、自己のSEIBU Smile ID等を使用してなされた一切の行為およびその結果について、その行為をID保有者が行ったか否かを問わず一切の責任を負うものとします。第三者がID保有者のSEIBU Smile ID等を使用して本サービスを利用した場合、当該SEIBU Smile ID等を冒用されたID保有者はそれによって生じた一切の損害を直ちに賠償するほか、発生した一切の紛争をその責任と負担において解決するものとします。
  3. SEIBU Smile ID等の管理不充分、使用上の過誤、第三者の使用等によって生じた損害に関する責任はID保有者が負うものとし、当社に故意または過失がある場合を除き、当社は一切の責任を負いません。
  4. いかなる者も、自己以外の者のSEIBU Smile ID等を使用して本サービスを利用することはできないものとします。

第7条 （SEIBU Smile ID認証による個別サービスの利用）

  1. 当社は、本サービスとしてログインサービスを提供します。ID保有者は、当社所定のログインサービスに関する手続を行うことにより、SEIBU Smile IDによる認証を通じて個別サービスを利用することができます。
  2. 個別サービスは、本サービス外において、個別サービスの提供者たる当社、西武グループ各社またはその提携先が提供するものです。個別サービスは、当該個別サービスに係る個別サービス利用規約に従って提供され、ID保有者は、個別サービスの利用にあたり、かかる個別サービス利用規約を遵守するものとします。
  3. 各個別サービスの利用、その取消し、および契約不適合責任等、また、個別サービスの利用に利用料金・代金等（以下「利用料金等」といいます。）が発生する場合の利用料金等の額、その算定方法および支払方法ならびに、払戻し等の額、その算定方法および支払方法等は、各個別サービスに係る個別サービス利用規約に従うものとし、その変更についても同様とします。
  4. 個別サービスの利用において、本規約の定めと当該個別サービスに係る個別サービス利用規約の内容が異なる場合には、個別サービス利用規約の内容が優先されるものとします。

第8条 （権利帰属）

本サイト等、本サービスおよび個別サービスに関する知的財産権は全て当社、西武グループ各社もしくはその提携先またはこれらにライセンスを許諾する者に帰属しており、本規約に基づく本サービスの利用許諾は、本サイト等、本サービスおよび個別サービスに関する知的財産権の使用許諾を意味するものではありません。

第9条 （秘密保持）

ID保有者は、本サービスに関連して当社がID保有者に対して秘密に取り扱うことを求めて開示した非公知の情報について、当社の事前の書面による承諾がある場合を除き、第三者に開示しまたは漏えいしてはならないものとします。

第10条 （個人情報などの取扱い）

  1. 当社は、SEIBU Smile IDの発行およびID保有者による本サービスの利用によって取得する個人情報の取扱いについては、本規約、別途当社が定める「SEIBU Smile ID個人情報保護に対する基本方針」（https://id.seibugroup.jp/privacy_policy/）、当社の「個人情報保護方針」（https://www.seibuholdings.co.jp/privacy/）および個人情報保護関連法令に従い、適切に取り扱うものとします。
  2. 当社は、ID保有者が当社に提供した情報、データ等を、個人を特定できない形での統計的な情報として、利用および公開することができるものとし、ID保有者はこれに異議を唱えないものとします。

第11条 （禁止事項）

ID保有者は、本サービスの利用にあたり、次の各号のいずれかに該当する行為または該当すると当社が判断する行為をしてはなりません。

  1. 本規約等および当社所定の方法により提示された注意事項等に反する行為。
  2. 自己が利用する個別サービスに係る個別サービス利用規約に反する行為。
  3. 営利目的の有無および有償無償を問わず、ID保有者以外の第三者に本サービスおよび個別サービスを利用させる行為またはそれに準じる行為。
  4. 本サービスおよび個別サービスの利用に際し、虚偽の登録または申告をする行為、第三者に成りすます行為、または他人に迷惑を及ぼす行為。
  5. 他のID保有者のIDまたはパスワードを利用する行為。
  6. 当社、西武グループ各社、他のID保有者またはその他の第三者の知的財産権、肖像権、プライバシーの権利、名誉、その他の権利または利益を侵害する行為。
  7. 本サービスおよび個別サービスのネットワークまたはシステム等に過度な負荷をかける行為。
  8. 本サービスおよび個別サービスの運営を妨害するおそれのある行為。
  9. 当社および西武グループ各社のネットワークまたはシステム等に不正にアクセスし、または不正なアクセスを試みる行為。
  10. 法令もしくは公序良俗に違反する行為、または違反するおそれのある行為。
  11. 前各号のほか、当社が合理的な理由に基づき不適切と判断する行為。

第12条 （ID保有者の責務）

  1. ID保有者が、本規約もしくは個別サービス利用規約に反する行為または不正もしくは違法な行為によって、当社または第三者に損害を与えた場合、当該ID保有者は当社または当該第三者に対し、その損害を賠償するものとします。
  2. ID保有者が本サービスまたは個別サービスの利用によって第三者に対して損害を与えた場合その他第三者との間で紛争が生じた場合、ID保有者は、自己の責任と負担をもってこれを解決し、当社に何らの損害等を被らせないものとします。

第13条 （保証の否認および免責）

  1. 当社は、本サービスがID保有者の特定の目的に適合すること、期待する機能・商品的価値・正確性・有用性を有すること、ID保有者による本サービスの利用がID保有者に適用のある法令または業界団体の内部規則等に適合すること、および不具合が生じないことについて、何ら保証するものではありません。
  2. 当社は、本サービスの提供に付随して生じる一切の損害（金銭的損害および損失ならびに精神的苦痛その他の不利益）について一切の責任を負わないものとします。
  3. 前項は、当社の故意または過失による場合はこの限りではありません。
  4. 個別サービスに係る紛争等その他、ID保有者と西武グループ各社またはその提携先との間で生じた取引、連絡、紛争等については、ID保有者と当該西武グループ各社またはその提携先との間で解決するものとし、当社は一切責任を負いません。ID保有者は、これに関し、当社に何ら請求せずまたは苦情を申し立てないものとするほか、当社に何らの損害等を被らせないものとします。

第14条 （退会）

  1. ID保有者は、当社所定の退会申請を行い、当社が退会処理を完了することにより、ID保有者としての登録を抹消（以下「退会」といいます。）することができます。この場合、ID保有者資格は消滅し、SEIBU Smile IDは失効します。
  2. 当社が退会処理を行った場合、いかなる場合であっても退会申請を取り消すことはできません。
  3. ID保有者が退会した場合、それ以降、本サービスを利用できなくなり、本サービスにより取得した権利の一切を失うものとします。ただし、退会前の事由に基づき生じた義務および債務等を免れるものではありません。
  4. ID保有者が退会した場合、それ以降、SEIBU Smile IDを通じた個別サービスの利用はできなくなります。ただし、各個別サービスの提供者によるサービス提供自体が当然に停止されるものではなく、当該個別サービスに係る個別サービス利用規約の定めにより、それぞれのサービス提供サイト等において引き続き個別サービスの提供を受けることができる場合があります。その場合であっても、SEIBU Smile IDを通じた個別サービスの利用の履歴またはかかる利用により取得した権利等が承継されないことがあります。その詳細は個別サービス利用規約に従うものとします。
  5. 本条に従ってID保有者が退会した場合、ID保有者のSEIBU Smile IDに紐づいている西武プリンスクラブお客さま番号は同時に失効し、ID保有者は西武プリンスクラブを自動的に退会するものとします。

第15条 （ID保有資格の喪失）

ID保有者は次の各号のいずれかに該当するときは、ID保有者としての資格を喪失するものとします。

  1. 退会した場合
  2. 第4条第4項の会員資格に該当しなくなった場合
  3. 「SEIBU Smile ID個人情報保護に対する基本方針」にご同意いただけない場合
  4. 暴力団員、暴力団関係企業・団体もしくはこれに類する反社会的勢力の構成員またはそれらと関係を有すると当社が判断した場合
  5. 法令、本規約（本規約に付随する特約等を含みます。）または公序良俗に違反する行為またはそれらのおそれがある行為が認められた場合
  6. その他、ID保有者による本サービスおよび個別サービスの利用が不適切であると当社が合理的に判断した場合

第16条 （サービスの追加、変更など）

当社は、ID保有者の承諾および事前の予告を経ることなく、本サービスまたはログインサービスの対象である個別サービスの全部もしくは一部を追加、変更または削減（個別サービスとの連携の終了を含みます。）することができるものとします。

第17条 （本サービスの停止など）

  1. 当社は、次の各号のいずれかに該当する場合には、ID保有者に事前に通知することなく、本サービスの全部または一部の提供を一時的に停止または中断することができるものとします。
    1. 本サービスに係るコンピュータ・システムの点検または保守作業を定期的に、または緊急に行う場合
    2. 本サービスに係るコンピュータ・システムまたはそれに用いる通信回線等が停止し、または障害が発生した場合
    3. 本サービスの運営ができなくなった場合
    4. その他、当社が一時的に停止または中断する必要があると判断した場合
  2. 当社は、本サービスの一時中断のお知らせやID保有者へのお知らせを行う場合、当社が適当と判断する方法でID保有者にその旨を通知します。ただし、緊急の場合またはやむを得ない事情により通知できない場合は、この限りではありません。
  3. 個別サービスは、個別サービス利用規約の定めにより、その全部または一部の提供が停止もしくは中断または中止等されることがあります。詳細はそれぞれの個別サービス利用規約に従うものとします。

第18条 （本サービスの終了）

  1. 当社は、6ヶ月前までにID保有者に通知することにより、本サービスの提供を長期的に中断または終了することができます。
  2. 当社は、運営上の都合または天災・その他の非常事態による障害の発生等により、予告なく本サービスの提供を中断することができます。

第19条 （本規約の変更）

当社は、本規約の変更、改定または廃止（以下「変更等」といいます。）を行うことができます。なお、本規約の変更等は、変更等の効力発生日の前までに、本規約を変更する旨および変更後の本規約の内容ならびに効力発生日をSEIBU Smile ID Webサイト上での掲載その他相当な方法によりお知らせし、効力発生日以降は、変更等後の本規約が最新のものとして本サービスに適用されます。

第20条 （分離可能性）

本規約のいずれかの条項またはその一部が、消費者契約法その他の法令等により無効または執行不能と判断された場合であっても、本規約の残りの規定および一部が無効または執行不能と判断された規定の残りの部分は、継続して完全に効力を有するものとします。

第21条 （準拠法および管轄裁判所）

  1. 本規約の準拠法は日本法とします。
  2. 本規約に起因し、または関連する一切の紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

SEIBU Smile ID Terms of Use

The SEIBU Smile ID Terms of Use (hereinafter referred to as "these Terms") stipulate the terms of use, precautions for use, and rights and obligations between the Company and ID holders for the service for holders of the common ID "SEIBU Smile ID" provided by Seibu Holdings Inc. (hereinafter referred to as "the Company"). To use this service, you must read the entire text of these Terms and agree to these Terms.

Article 1 (Application)

  1. The purpose of these Terms is to stipulate the terms of use of the Service, precautions for use, and the rights and obligations between our company and ID holders, and they apply to all relationships between our company and ID holders regarding the use of the Service.
  2. When using the Service, the ID Holder shall comply with these Terms and Conditions and any other terms and conditions of use, etc. separately stipulated by the Company for the Service (collectively referred to as the "Terms, etc.") and shall cooperate to ensure the smooth operation of the Service.
  3. If there is a discrepancy between the contents of these Terms, etc. and explanations, advertisements, etc. relating to the Service outside of these Terms, etc., the provisions of these Terms, etc. shall take precedence.

Article 2 (Definitions)

The following terms used in these Terms and Conditions shall have the meanings set forth below:

  1. "This Service" means the service provided by us under the name "SEIBU Smile ID" that enables you to log in to various services and content provided by Seibu Group companies or their business partners using a common ID, and other services for ID holders (if the name or content of the service is changed for any reason, this includes the service after such change and does not include "Individual Services").
  2. "ID Holder" means an individual who has completed the SEIBU Smile ID issuance procedure in accordance with Article 4, Paragraph 3 (excluding an individual who has deleted their ID).
  3. "SEIBU Smile ID" refers to the login ID used for authentication when the ID holder uses this service.
  4. "Individual Services" refers to various services and content provided by the Company, Seibu Group companies or their business partners that can be used through authentication with SEIBU Smile ID.
  5. "Individual Service Terms of Use" means the terms, agreements, etc. established by the provider of an Individual Service, such as the Company, a Seibu Group company or its affiliates, that set out the conditions of use of that Individual Service, the rights and obligations pertaining to its use, and other matters.
  6. "Login Service" refers to a service that allows you to log in to an Individual Service using your SEIBU Smile ID in order to use that Individual Service through authentication using your SEIBU Smile ID.
  7. "This Site, etc." refers to the websites, applications and related software through which we provide the Service.
  8. "Registration Information" refers to certain information specified by the Company as necessary for issuing a SEIBU Smile ID.
  9. "Intellectual Property Rights" means copyrights, patents, utility model rights, design rights, trademarks and other intellectual property rights (including the right to acquire such rights or apply for the registration, etc. of such rights).
  10. "SEIBU PRINCE CLUB" refers to the membership-based point program service provided by our company.
  11. "SEIBU PRINCE CLUB Customer Number" means a unique number issued to each SEIBU PRINCE CLUB member.

Article 3 (Use of the Service)

  1. This service is provided only to ID holders. ID holders may use this service only after agreeing to each provision of these terms.
  2. The ID Holder acknowledges that there may be cases where he/she is unable to use some or all of the functions of the Service due to the performance of the information terminal device used to use the Service, the communication environment, etc., and will not raise any objections to this.

Article 4 (Issuance of SEIBU Smile ID)

  1. In order to use this service, you must join the SEIBU PRINCE CLUB and complete the procedure for issuing a SEIBU Smile ID in accordance with this article.
  2. Anyone who wishes to receive a SEIBU Smile ID may apply to us for a SEIBU Smile ID by agreeing to each provision of these Terms and Conditions, following the issuance procedures specified by us, and providing us with their registration information.
  3. The Company will determine whether to issue a SEIBU Smile ID and password to the person who applied for the ID based on the preceding paragraph (hereinafter referred to as the "Applicant"), and if the Company approves the issuance, the Company will issue the SEIBU Smile ID and password. In such a case, the Company will notify the Applicant of the same.
  4. An ID holder must meet the following criteria:
    1. Living individuals (corporations not accepted)
    2. Those who reside in Japan or can register a domestic address
    3. Anyone aged 13 or older. However, if a person under the age of 13 wishes to receive a card, the condition of this paragraph will be met if the legal representative (parent or guardian of the minor) notifies the person of their consent at the time of application for issuance.
    4. Those who are not members of organized crime groups, companies or organizations related to organized crime groups, or similar antisocial forces, or have any relationship with them

Article 5 (Changes to registered information)

If there are any changes to the ID Holder's registered information, the ID Holder must notify the Company of such changes without delay using the method specified by the Company.

Article 6 (Management of SEIBU Smile ID and Password)

  1. ID holders must properly manage and store their SEIBU Smile ID and password (hereinafter collectively referred to as "SEIBU Smile ID, etc.") at their own responsibility, and must not allow a third party to use them, or lend, transfer, change the name of, buy or sell them.
  2. The ID holder shall be fully responsible for all actions and their results that are performed using his/her SEIBU Smile ID, etc., regardless of whether the actions were performed by the ID holder or not. If a third party uses the Service using the ID holder's SEIBU Smile ID, etc., the ID holder whose SEIBU Smile ID, etc. has been misused shall immediately compensate for all damages caused thereby and shall resolve all disputes that arise at his/her own responsibility and expense.
  3. The ID holder shall be responsible for any damages caused by insufficient management of the SEIBU Smile ID, erroneous use, or use by a third party, and the Company shall not be held liable in any way except in cases where the Company is guilty of intentional or negligent acts.
  4. No person may use this service using a SEIBU Smile ID or other information of another person.

Article 7 (Use of individual services through SEIBU Smile ID authentication)

  1. The Company provides a login service as part of this Service. By completing the procedures for the login service specified by the Company, ID holders can use individual services through authentication using their SEIBU Smile ID.
  2. Individual Services are provided outside of the Service by the provider of the Individual Service, such as the Company, Seibu Group companies or their business partners. Individual Services are provided in accordance with the Individual Service Terms of Use for the Individual Service, and ID Holders shall comply with such Individual Service Terms of Use when using the Individual Service.
  3. The use of each Individual Service, its cancellation, liability for non-compliance with the contract, etc., as well as the amount of usage fees, charges, etc. (hereinafter referred to as "Usage Fees, etc.") incurred for the use of an Individual Service, the method of calculation and payment thereof, and the amount of refunds, etc., the method of calculation and payment thereof, etc. shall be in accordance with the Individual Service Terms of Use for each Individual Service, and the same shall apply to any changes thereto.
  4. In the event of a discrepancy between the provisions of these Terms and the Individual Service Terms of Use for the Individual Service in question, the Individual Service Terms of Use shall take precedence.

Article 8 (Ownership of Rights)

All intellectual property rights relating to the Site, the Service and Individual Services belong to the Company, the Seibu Group companies or their business partners, or to those who grant licensors to them, and permission to use the Service under these Terms does not imply permission to use any intellectual property rights relating to the Site, the Service and Individual Services.

Article 9 (Confidentiality)

ID Holders shall not disclose or leak to a third party any non-public information disclosed by the Company in connection with the Service with the request that the information be treated as confidential, except with the prior written consent of the Company.

Article 10 (Handling of Personal Information, etc.)

  1. With regard to the issuance of SEIBU Smile IDs and the handling of personal information obtained through ID holders' use of this service, we will handle such information appropriately in accordance with these Terms and Conditions, our separate "SEIBU Smile ID Basic Policy for Personal Information Protection" (https://id.seibugroup.jp/privacy_policy/), our "Personal Information Protection Policy" (https://www.seibuholdings.co.jp/privacy/), and laws and regulations related to personal information protection.
  2. The Company may use and disclose any information and data provided to the Company by the ID Holder as statistical information in a form that does not identify individuals, and the ID Holder may not object to this.

Article 11 (Prohibitions)

When using the Service, ID Holders must not engage in any of the following acts or acts that the Company determines to fall under any of the following items.

  1. Any act that violates these Terms and Conditions and the precautions and other matters presented in a manner specified by our company.
  2. Any act that violates the terms of use for an Individual Service related to the Individual Service that you use.
  3. Allowing third parties other than the ID holder to use the Service or Individual Services, regardless of whether for profit or not, and whether or not there is a fee, or any other similar act.
  4. When using the Service or Individual Services, making false registrations or declarations, impersonating a third party, or any other act that causes inconvenience to others.
  5. Using another ID holder's ID or password.
  6. Any act that infringes on the intellectual property rights, portrait rights, privacy rights, reputation or other rights or interests of the Company, Seibu Group companies, other ID holders or other third parties.
  7. Any act that places an excessive load on the networks or systems of this Service or any Individual Service.
  8. Any act that may disrupt the operation of this Service or any Individual Service.
  9. Any act of unauthorized access or attempting to unauthorized access to the networks or systems of the Company or any Seibu Group company.
  10. Any act that violates or may violate laws, regulations, or public order and morals.
  11. Any other conduct that the Company reasonably determines to be inappropriate, in addition to the above.

Article 12 (ID Holder Responsibilities)

  1. If an ID Holder causes damage to the Company or a third party through conduct that violates these Terms or the terms of use for an individual service, or through fraudulent or illegal conduct, the ID Holder shall compensate the Company or the third party for such damage.
  2. If the ID Holder causes damage to a third party through the use of the Service or Individual Services, or if a dispute arises with a third party, the ID Holder shall resolve such matter at his/her own responsibility and expense and shall not cause the Company to suffer any damages.

Article 13 (Disclaimer of Warranties and Indemnification)

  1. The Company does not guarantee that the Service will meet the specific purpose of the ID Holder, that it has the expected functions, commercial value, accuracy, or usefulness, that the ID Holder's use of the Service will comply with the laws and regulations or internal rules of industry associations that are applicable to the ID Holder, or that there will be no malfunctions.
  2. We shall not be liable for any damages (including monetary damages and losses, as well as mental distress and other disadvantages) arising from the provision of this service.
  3. The above provision shall not apply in cases where the cause is due to our intention or negligence.
  4. Any transactions, communications, disputes, etc. that arise between the ID Holder and the Seibu Group company or its affiliates, including disputes regarding Individual Services, shall be resolved between the ID Holder and the relevant Seibu Group company or its affiliates, and the Company shall not bear any responsibility whatsoever. The ID Holder shall not make any claims or complaints against the Company in relation thereto, and shall not cause the Company to suffer any damages, etc.

Article 14 (Withdrawal)

  1. An ID holder can cancel his/her registration as an ID holder (hereinafter referred to as "cancellation") by submitting a cancellation application as specified by the Company and having the Company complete the cancellation process. In this case, the ID holder qualifications will be terminated and the SEIBU Smile ID will be invalidated.
  2. Once we have processed your cancellation request, it cannot be revoked under any circumstances.
  3. If an ID holder cancels his/her membership, he/she will no longer be able to use the Service and will lose all rights acquired through the Service. However, this does not mean that he/she will be relieved of obligations and liabilities that have arisen based on reasons prior to the cancellation.
  4. If an ID holder cancels his/her membership, he/she will no longer be able to use the individual services through his/her SEIBU Smile ID. However, the provision of services by the providers of each individual service will not be automatically suspended, and in accordance with the provisions of the individual service terms of use for that individual service, it may be possible to continue to receive the individual services on the respective service provider sites, etc. Even in that case, the history of use of the individual services through SEIBU Smile ID or rights acquired through such use may not be inherited. Details of this will be subject to the individual service terms of use.
  5. If an ID Holder cancels their membership in accordance with this Article, the SEIBU PRINCE CLUB customer number linked to the ID Holder's SEIBU Smile ID will simultaneously expire, and the ID Holder will automatically cancel their membership in the SEIBU PRINCE CLUB.

Article 15 (Loss of ID holder eligibility)

An ID holder will lose his/her ID holder status if he/she falls under any of the following items.

  1. If you cancel your membership
  2. If you no longer qualify for membership under Article 4, Paragraph 4
  3. If you do not agree to the "SEIBU Smile ID Personal Information Protection Policy"
  4. If the Company determines that the individual is a member of an organized crime group, a company or organization related to an organized crime group, or a member of similar antisocial forces, or has a relationship with such individuals
  5. When an act that violates or may violate laws, regulations, these Terms (including special provisions attached to these Terms), or public order and morals is recognized
  6. Any other case in which the Company reasonably determines that the ID Holder's use of the Service and Individual Services is inappropriate.

Article 16 (Addition, Changes, etc. of Services)

The Company reserves the right to add, change, or reduce (including the termination of collaboration with Individual Services) all or part of the Individual Services that are the subject of the Service or the Login Service without obtaining the consent of or prior notice to the ID Holder.

Article 17 (Suspension of the Service, etc.)

  1. If any of the following circumstances occur, the Company may temporarily suspend or interrupt the provision of all or part of the Service without prior notice to the ID Holder.
    1. When carrying out regular or emergency inspection or maintenance work on the computer system related to this service
    2. If the computer system related to this service or the communication lines used therefor stop or fail
    3. If we are no longer able to operate this service
    4. Any other case in which the Company determines it is necessary to temporarily suspend or interrupt the service.
  2. When notifying ID holders of the temporary suspension of the Service or when notifying ID holders, the Company will notify such to the ID holders in a manner that the Company deems appropriate, except in the case of an emergency or when it is not possible to notify due to unavoidable circumstances.
  3. The provision of all or part of the Individual Services may be suspended, interrupted, or discontinued, etc., in accordance with the provisions of the Individual Service Terms of Use. Details shall be in accordance with the Terms of Use for each Individual Service.

Article 18 (Termination of the Service)

  1. The Company may suspend or terminate the provision of the Service for a long period of time by notifying the ID holder at least six months in advance.
  2. We may suspend the provision of this Service without notice due to operational reasons or the occurrence of disruptions due to natural disasters or other emergencies.

Article 19 (Changes to these Terms)

The Company may change, revise or abolish these Terms (hereinafter referred to as "Changes, etc."). In addition, the Company will notify you of the changes to these Terms, the contents of the changed Terms, and the effective date by posting them on the SEIBU Smile ID website or by other appropriate means before the effective date of the changes, etc., and after the effective date, the changed Terms will be the latest and apply to the Service.

Article 20 (Severability)

Even if any provision or part of any provision of these Terms and Conditions is determined to be invalid or unenforceable pursuant to the Consumer Contract Act or other laws and regulations, the remaining provisions of these Terms and Conditions and the remaining part of the provision that is determined to be invalid or unenforceable shall continue in full force and effect.

Article 21 (Governing Law and Court of Jurisdiction)

  1. These Terms and Conditions shall be governed by Japanese law.
  2. The Tokyo District Court shall be the court of first instance with exclusive jurisdiction over any disputes arising from or related to these Terms and Conditions.
  3. The Japanese version of these Terms and Conditions (including any special provisions and the like incidental hereto) is the official version, and even if these Terms and Conditions are translated into any other language for reference, only the Japanese version shall be valid as the official version and any translated version in another language shall not be valid.
